SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS
On May 26, 2004, we held our annual meeting of stockholders. Our stockholders elected Arent H. Kits van Heyningen and Charles R. Trimble to serve as Class II directors
for three-year terms. In addition, the terms of office of our other directors, Martin A. Kits van Heyningen, Robert W.B. Kits van Heyningen, Mark S. Ain, Stanley K. Honey, and Bruce J. Ryan, continued after our annual meeting of stockholders.
